THE BUSINESS

EDGAR CAPITAL CORPORATION is based in Vancouver, British Columbia, Canada and is in the business of investing directly in private and public companies using Edgar family capital. Edgar Capital Corporation's principal is Brian D. Edgar. Mr. Edgar received a law degree from the University of British Columbia, Canada in 1975 and in 1977 he formed the law firm Rand & Edgar with Mr. William A. Rand to specialize in corporate and securities law dealing primarily with public mining and oil and gas companies. Mr. Edgar and Mr. Rand retired from legal practice in 1992. Since that time, Mr. Edgar has been involved in investing in and managing mining and oil & gas companies.

CORPORATE EXPERIENCE

Mr. Edgar has been working with public companies as a legal advisor, officer, board member and/or shareholder since 1976. He has served in the foregoing capacities for many public companies over the years and during his career has experienced three major market downturns. Mr. Edgar has had experience with:

  1. many aspects of the formation, financing and operation of public companies;
  2. stock exchanges and securities commissions in Canada, the United States, Europe, South Africa and Australia;
  3. doing business in Canada, the United States, numerous countries in Africa, Europe, Central and South America, the Caribbean, China, Indonesia, the Philippines, Myanmar, Papua New Guinea and Australia;
  4. retail and institutional investors;
  5. strategic planning;
  6. dealing with senior government officials, Ambassadors, High Commissioners and foreign government dignitaries and politicians to cabinet level;
  7. domestic and off-shore corporate/tax structuring;
  8. negotiating financings, restructurings, property/asset acquisitions and divestitures, option/joint-venture and governmental stability agreements;
  9. human resources - managerial and technical;
  10. corporate committees - corporate governance, health, safety & environment, compensation, audit and Special Committees of the Board formed in connection with (takeover bids, material asset acquisition/disposition).

    Board member from March, 2005 to the present. Chairman of independent directors

    Denison Mines Corp. was created from the merger of Denison Mines Inc. and International Uranium Corp. in December of 2006. Denison is a Lundin Group company.

    Denison is a leading Canadian uranium-focused company with a market cap approaching CDN $2 billion. It has working capital in excess of CDN $250,000 and is focused on putting its Phoenix deposit (Wheeler River Project, Saskatchewan) into production by 2027. When in production, the mine is projected to be the lowest cost uranium production in Canada and one of the lowest in the world.

  2. SILVER BULL RESOURCES, INC. (www.silverbullresources.com)

    Silver Bull (formerly Metalline Mining Company) is a junior mineral exploration company headquartered in Vancouver, Canada involved in silver/zinc exploration in Mexico. Mr. Edgar is the Chairman of Silver Bull and has served in this capacity since April, 2010. The Company is currently engaged in international arbitration against Mexico.

  3. Arras Minerals Corp. (www.arrasminerals.com)

    Arras Minerals is a listed Canadian mineral exploration company focused on gold and copper exploration in Kazakhstan. The Company is the third largest mineral exploration land holder in the country. Mr. Edgar has been the Chairman of the board from the inception of the Company.

B. SELECT PAST DIRECTORSHIPS

  1. BLACK PEARL RESOURCES LTD. (director from February, 2006 to December 18, 2018). Retired in Dec. 2018 upon the acquisition of the Company by International Petroleum Corp.

    Black Pearl was in the heavy oil business principally in Saskatchewan, Canada, where it acquired prospective oil leases at Onion Lake. After years of testing and due diligence, the Company authorized the construction of a Phase I heavy oil plant designed to produce 6,000 bbl/day at a cost of $230,000,000. The plant was completed on time and on budget and produced oil at sub $10/bbl. Soon thereafter, the board authorized construction of an identical Phase II processing plant to double daily production. This expansion was completed on time ata cost of $210,000,000 and performed exactly like Phase I.

  2. LUNDIN MINING CORPORATION (director for 21 years – September, 1994 – May, 2015.)

    Lundin Mining is a multi-million dollar market cap company operating mines including Neves-Corvo (Portugal); Candelaria (Chile); Caserones (Chile); Chapada (Brazil); and Eagle (Michigan, USA).

  3. RED BACK MINING INC. (director from August 2005 to September 2010). The Company developed two gold mines: one in one in Ghana and one in Mauritania. Retired as Lead Director of Red Back on September 17, 2010 in connection with the acquisition of Red Back by Kinross Gold Corporation (www.kinross.com) in consideration for Kinross stock valued at approximately $9 billion.

  4. INTERNATIONAL PETROLEUM CORP. (director from April 1987 to August 1998). Former main Lundin Group oil and gas company that was superseded by Lundin Petroleum AB (www.lundin-petroleum.com).

  5. VALKYRIES PETROLEUM CORP. (director from April 1990 to July 2006). Valkyries was a Lundin Group oil and gas company acquired by Lundin Petroleum AB on August 1, 2006. Mr. Edgar served as the Chairman of the Independent Committee of the Board on the disposition.

  6. LUCARA DIAMOND CORP.

    Lucara is a diamond production company and operates the Karowe diamond mine in Botswana. Lucara is a Lundin Group company.

    Lucara acquired an undeveloped diamond property in Botswana from De Beers for US $50mm. Completed feasibility study and built the Karowe mine and mill facilities which went into production in 2012. One of the world’s foremost producers of high quality Type II diamonds in excess of 10.8 carats, including the historic 1,758 carat Sewelô, the 1,109 carat Lesedi La Rona and the 813 carat Constellation which sold for a record US$63.1 million. Since commencing production, Karowe has sold 216 diamonds for more than $US1mm each and 11 single diamonds for more than $US10mm each. The Company is listed on TSX, OMX and BSE Exchanges.

  7. MANSFIELD MINERALS INC. now Goldrock Mines Corp. (director from November 1994 to June 1998; Chairman from December 1995 to June 1998).

    Mansfield was focused on mineral exploration and development in North Western Argentina. The Company discovered the Lindero deposit, now an operating gold mine.

  8. WHITE KNIGHT RESOURCES LTD. (director from February 1996 to March 2007). Resigned from the board upon the takeover of White Knight by U.S. Gold Corp. (www.usgold.com) in June of 2007, White Knight was a junior gold exploration company operating in Nevada. White Knight was acquired by U.S. Gold for approximately $145 million.
